Structure and security

  • Collateral

Backed by a senior secured loan that includes gold assets as collateral. The underlying assets consist of physical gold inventory or U.S. dollars held in bank accounts.

  • Operating business

Metals House Inc. is an established global physical precious metals company with 11 offices in 9 countries on 4 continents. It partners with suppliers of physical gold through long-term contracts, buying inventory at a discount to the London spot price.

  • Inventory protection

Physical precious metals inventory is hedged against market fluctuations, fully insured, and held in bonded vaults at a bank or refinery, or in transit with a secure logistics company.

  • Financial oversight

The announcement states KPMG had just completed its fifth annual audit of the company’s financials.

Presented by the placement agent

“We are thrilled to present this investment opportunity to our eligible US and non-US investors,” said Charles Towle, CEO of US Capital Global Securities. The announcement is dated June 2024.

Institutional positioning

How the two offerings sit together

  • Regulated placement

Both offerings are made through US Capital Global Securities LLC, an SEC-registered broker-dealer, FINRA member and SIPC member, with private placement operations registered in the UK (FCA) and the UAE (DFSA).

  • Hard-asset collateral with income

Jeffrey Sweeney, Founder and Chairman of US Capital Global, describes gold-backed private credit as combining hard-asset backing with contractual income, while noting that it does not make an investment risk-free.

  • Two different routes to gold

Metals House deploys gold inside an operating business that trades physical metal. Gold Vault targets gold- and silver-bearing material that has already been mined and sits above ground.

Both offerings are discussed in Mr. Sweeney’s article “Beyond Bullion: Gold-Backed Income in a Digital World,” which also notes that collateral can decline in value, counterparties can fail, and private securities carry credit, execution, liquidity and other risks.
